This number is comprised of the Class A Shares held by: (i) Ernest C. Garcia II (“Mr. Garcia”) (44,059,817 shares, including 41,442,317 shares on an as-converted basis); (ii) Verde Investments, Inc. (“Verde”) (2,578,314 shares), which Mr. Garcia wholly owns and controls; and (iii) ECG II SPE, LLC (“E-SPE”) (8,000,000 shares on an as-converted basis), which Mr. Garcia wholly owns and controls.

Mr. Garcia may be considered to have shared voting and dispositive power with respect to the Class A Shares held by: (i) the Ernest Irrevocable 2004 Trust III (the “2004 Trust”) (12,684,021 shares, including 11,834,021 shares on an as-converted basis), of which Mr. Garcia is a non-voting co-trustee and Mr. Garcia’s son, Ernie Garcia III, is the sole beneficiary; and (ii) the Ernest C. Garcia III Multi-Generational Trust III (the “Multi-Generational Trust”) (12,902,000 shares, including 11,952,000 shares on an as-converted basis), of which Mr. Garcia is a non-voting co-trustee and Ernie Garcia III and his children are the sole beneficiaries.

EXPLANATORY NOTE

This Amendment No. 31 (“Amendment No. 31”) to Schedule 13D is filed jointly by Mr. Garcia, Verde and E-SPE (collectively, the “Reporting Persons”) with respect to the Class A Shares, pursuant to their Joint Filing Agreement dated as of May 12, 2017, as amended and restated on September 27, 2018 and on April 3, 2020 (the “Joint Filing Agreement”), filed as an exhibit to the Schedule 13D originally filed on behalf of the Reporting Persons with the United States Securities and Exchange Commission (the “SEC”) on May 12, 2017 and subsequently amended on May 9, 2018, May 23, 2018, September 17, 2018, September 28, 2018, October 22, 2018, November 8, 2018, March 15, 2019, April 1, 2019, May 20, 2019, June 26, 2019, April 3, 2020, June 16, 2020, November 6, 2020, December 9, 2020, January 7, 2021, January 28, 2021, February 24, 2021, March 16, 2021, April 14, 2021, May 12, 2021, May 27, 2021, June 22, 2021, July 13, 2021, August 2, 2021, August 26, 2021, February 7, 2022, April 29, 2022, June 15, 2022, August 25, 2023 and November 13, 2023 (the “Original Schedule 13D”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Original Schedule 13D. Except as specifically provided herein, this Amendment No. 31 does not modify any of the information previously reported in the Original Schedule 13D.

Item 3. Source and Amount of Funds or Other Consideration

Item 3 of the Original Schedule 13D is hereby amended and supplemented to include the following information:

On April 11, 2024, Mr. Garcia sold 50,000 Class A Shares in open market transactions at a weighted average price of $80.1299 per share. These shares were sold in multiple transactions at prices ranging from $80.00 to $80.39, inclusive. The sale was effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On April 26, 2024, Mr. Garcia sold 50,000 Class A Shares in open market transactions at a weighted average price of $80.0928 per share. These shares were sold in multiple transactions at prices ranging from $80.00 to $80.36, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On April 29, 2024, Mr. Garcia sold 50,000 Class A Shares in open market transactions at a weighted average price of $85.3792 per share. These shares were sold in multiple transactions at prices ranging from $83.41 to $88.26, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On April 30, 2024, Mr. Garcia sold 50,000 Class A Shares in open market transactions at a weighted average price of $82.2378 per share. These shares were sold in multiple transactions at prices ranging from $81.42 to $83.27, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 1, 2024, Mr. Garcia sold 50,000 Class A Shares in open market transactions at a weighted average price of $83.0272 per share. These shares were sold in multiple transactions at prices ranging from $82.00 to $84.78, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 2, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $116.4105 per share. These shares were sold in multiple transactions at prices ranging from $112.23 to $121.52, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 3, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $120.3546 per share. These shares were sold in multiple transactions at prices ranging from $115.90 to $124.01, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 6, 2024, Mr. Garcia sold 75,000 Class A Shares in open market transactions at a weighted average price of $125.4292 per share. These shares were sold in multiple transactions at prices ranging from $122.76 to $128.97, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 7, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $120.3274 per share. These shares were sold in multiple transactions at prices ranging from $116.55 to $124.13, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.


On May 8, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $114.0449 per share. These shares were sold in multiple transactions at prices ranging from $112.86 to $116.00, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 9, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $116.6795 per share. These shares were sold in multiple transactions at prices ranging from $112.97 to $120.61, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 10, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $116.8729 per share. These shares were sold in multiple transactions at prices ranging from $115.39 to $120.06, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.

On May 13, 2024, Mr. Garcia sold 60,000 Class A Shares in open market transactions at a weighted average price of $119.2672 per share. These shares were sold in multiple transactions at prices ranging from $116.78 to $122.74, inclusive. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by Ernest C. Garcia II and Elizabeth Joanne Garcia on March 11, 2024, in accordance with Rule 10b5-1 of the Act.
