This Statement on Schedule 13D/A Amendment No. 11 (this “Amendment No. 11”) is filed on behalf of the Reporting Person with the Securities and Exchange Commission (the “Commission”). This Amendment No. 11 amends the Statement of Beneficial Ownership on Schedule 13D Amendment No. 10 (the “Prior Statement”) relating to shares of the Common Stock, par value $.05 per share (the “Common Stock”), of VSE Corporation (the “Issuer”), as specifically set forth herein (as so amended, the “Amended Statement”). Capitalized terms used herein and not otherwise defined herein shall have the same meanings ascribed to them in the Prior Statement.

Item 3.
Source and Amount of Funds or Other Consideration

Item 3 is hereby amended and restated to read as follows:

The aggregate purchase price of the 1,429,186 shares (which amount includes the 254,836 shares of Common Stock held by Koonce LLC) of the Common Stock beneficially owned by the Reporting Person is $1,852,856 (including brokerage fees and expenses).  All of the shares of Common Stock beneficially owned by the Reporting Person were paid for using his personal funds, were received as payment for services as a Director of the Issuer and were received by inheritance.  The 1,429,186 shares of Common Stock includes 20,000 shares owned by the Reporting Person’s wife.

Interest in Securities of the Issuer

Item 5 is hereby amended and restated to read as follows:

(a)-(b) As of October 17, 2024, the Reporting Person beneficially owns 1,429,186 shares of Common Stock, constituting approximately 7.0% of the shares of Common Stock outstanding of the Issuer. The Reporting Person has the sole power to vote and direct the vote and the sole power to dispose and direct the disposition of such shares.  The 1,429,186 shares of Common Stock includes 254,836 shares of Common Stock held by Koonce LLC and 20,000 shares owned by the Reporting Person’s wife.  The Reporting Person disclaims beneficial ownership of the shares held by Koonce LLC and his wife, except in each case to the extent of his pecuniary interest therein, if any. The aggregate percentage of shares of Common Stock reported beneficially owned by the Reporting Person is based upon 20,411,712 shares of Common Stock of the Issuer outstanding as of October 17, 2024, as reported by the Issuer in its Prospectus Supplement (To Prospectus dated August 2, 2024), filed with the Commission on October 16, 2024, following the disclosure by the Issuer in its Current Report on Form 8-K, filed Commission on October 17, 2024, that the underwriters named in such Prospectus Supplement exercised the option set forth therein in full.
