Item 1. Security and Issuer.
This Amendment No. 9 amends the Schedule 13D dated February 14, 2017, the Schedule 13D/A dated June 5, 2017, the Schedule 13D/A dated August 23, 2017, the Schedule 13D/A dated January 25, 2018, the Schedule 13D/A dated June 12, 2018, the Schedule 13D/A dated August 24, 2018, the Schedule 13D/A dated November 16, 2018, the Schedule 13D/A dated March 27, 2019, and the Schedule 13 D/A dated June 10, 2019 (as amended, the “Schedule 13D”) of Mark D. Burish (the “Reporting Person”), in respect of shares of common stock, par value $0.01 per share (the “Common Stock”), of Sonic Foundry, Inc., a Maryland corporation (the “Issuer”), as follows (unless otherwise indicated, all capitalized terms used but not defined herein have the meaning ascribed to such terms in the Schedule 13
D).
Item 5. Interest in Securities of the Issuer.
Item 5 is hereby amended by replacing the paragraph contained in Item 5(a) with the following paragraphs:
As of May 13, 2020, the Reporting Person owned 3,307,443 shares of Common Stock, or approximately 41.7% of the outstanding shares of Common Stock. The 3,307,443 shares include 16,000 shares subject to Presently Exercisable Options.
Item 5 is hereby amended by replacing the paragraph contained in Item 5(a) with the following sentences:
On May 13, 2020 the Issuer granted the Reporting Person 1,114,723 shares of Common Stock in exchange for the elimination of $5,573,615 of existing secured debt owed by the Issuer to the Reporting Person. This issuance of Common Stock granted to the Reporting Person was priced at $5.00 per share on a day the closing market price of the Company's Common Stock was $4.49.
