Comment for Type of Reporting Person:  * Based on 21,238,378 shares of common stock of the issuer outstanding as of November 11, 2024, as reported by the issuer in its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2024. In addition to 954,965 shares of common stock, the Reporting Person may be deemed to beneficially own 156,250 units ("Units"), with each Unit being comprised of (i) one share of the issuer's Series A Senior Convertible Preferred Stock, par value $0.001 per share (the "Series A Preferred Stock"), convertible into shares of the issuer's common stock based upon the conversion ratio set forth in the applicable Certificate of Designation (initially on a one-for-one basis, subject to adjustment) and (ii) a warrant to purchase one share of common stock (the "Warrants"), at an initial exercise price of $4.40 per share (subject to adjustment). This assumes the conversion of the Units that the Reporting Person may be deemed to beneficially own, including the conversion of the underlying Series A Preferred Stock into common stock and the exercise of the underlying Warrants.
