EXPLANATORY NOTE The Post Confirmation Trust for Fleming Companies, Inc. (the "Reporting Person") was created under the Third Amended and Revised Joint Plan of Reorganization (the "Plan") of Fleming Companies, Inc. and its Filing Subsidiaries (the "Debtors") under Chapter 11 of the United States Bankruptcy Code. The Reporting Person is responsible for the review and allowance of any unsecured claims against the Debtors. The PCT is also responsible for directing the distribution of the shares of Core-Mark Holding Company, Inc. (the "Issuer") with respect to any such allowed unsecured claims. The Issuer issued an aggregate of 9.8 million shares of common stock to Fleming Companies, Inc. in exchange for the stock of Core-Mark International, Inc. and its subsidiaries. The Reporting Person was initially responsible for the allocation of the 9,800,000 shares of the Issuer's common stock issued to Fleming Companies, Inc. The common stock of the Issuer was first registered under Section 12(g) of the Exchange Act on November 7, 2005. As of November 7, 2005, the reporting Person had authorized the distribution of 7,329,791 shares of the Issuer's common stock. The remaining 2,470,209 shares remained unallocated as of November 7, 2005 pending future resolution of unsecured claims against the Debtors. The Reporting Person merely directs the distribution of the Issuer's shares of common stock; however, under Rule 13d-3 of the Exchange Act, the Reporting Person may be considered to be a beneficial owner of the Issuer's common stock. The Reporting Person disclaims beneficial ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose. The class of equity security to which this statement relates is the common stock, $0.01 par value per share (the "Common Stock"), of Core-Mark Holding Company, Inc., a Delaware corporation.
