Each share of Class B Common Stock is convertible at any time at the option of the Reporting Person into one share of Class A Common Stock and has no expiration date. Each share of Class B Common Stock will convert automatically into one share of Class A Common Stock upon the earlier of: (i) any transfer, whether or not for value, except for certain “Permitted Transfers” as defined in the Issuer’s amended and restated certificate of incorporation, and (ii) the tenth anniversary of the Issuer’s initial public offering of its Class A Common Stock.

Ownership of Class A Common Stock assumes conversion of each Reporting Person’s share of Class B Common Stock into one share of Class A Common Stock following expected lock-up expiration in March 2020. Percentage ownership is based upon 27,600,000 shares of the registrant’s Class A common stock outstanding and the putative conversion of all of the Class B common stock of the Reporting Person, with no conversion by any other holders of Class B Common Stock reflected.

The securities to which this Schedule relates (the “Securities”) are owned by the Reporting Persons, which are certain investment limited partnerships. The Securities are subject to a lock-up agreement that restricts any trading of the Securities until the expiration of the lock-up, which is expected to occur in March 2020.

Neither the filing of this Schedule nor any of its contents shall be deemed to constitute an admission that any of the Reporting Persons are for any other purpose the beneficial owner of any of the Securities, and each Reporting Person disclaims beneficial ownership as to the Securities, except to the extent of its pecuniary interests therein.

The calculation of percentage of beneficial ownership in Item 11 above was derived from the Issuer’s latest filing on Form 10-Q.
