(c) Principal Occupa tion/Employer: President of Greenwood Capital, an Australian investment company with a portfolio spanning property, health centers, Australian food exports and cultural exchange.

All Shares were acquired based upon Mr. Fu’s belief that these securities represented an attractive investment opportunity.

(c) Since the filing of Amendment No. 1 to Mr. Jian Ping Fu’s Schedule 13D, filed with the Securities and Exchange Commission on April 16, 2019, Mr. Fu has entered into two transactions selling his Shares of the Company’s common stock: (1) on June 11, 2019, Mr. Fu sold 380,954 Shares for $3.84 per Share pursuant to open market transactions and (2) on August 1, 2020, Mr. Fu sold 1,302,350 Shares for $1.23 per Share in a private transaction pursuant to a Shares Sale and Purchase Agreement, dated August 1, 2020.
