This Schedule 13G is filed by: (i) Hillhouse Capital Advisors, Ltd., an exempted Cayman Islands company (“HCA”) and (ii) Hillhouse Capital Management, Ltd., an exempted Cayman Islands company (“HCM”). The foregoing persons are hereinafter sometimes each referred to as a “Reporting Person” and collectively referred to as the “Reporting Persons.” |
HCA acts as the sole management company of Gaoling Fund, L.P. (“Gaoling”) and the sole general partner of YHG Investment, L.P. (“YHG”). HCA is hereby deemed to be the beneficial owner of, and to control the voting and investment power of, the Class A Ordinary Shares (as defined in Item 2(d) below) held by the Gaoling and YHG. HCM was previously the beneficial owner of, and controlled the voting and investment power of, Class A Ordinary Shares that were held by certain funds that it managed. HCA and HCM are under common control and share certain policies, personnel and resources. Accordingly, each of HCA and HCM reports on this Schedule 13G that it has shared voting and dispositive power of the Class A Ordinary Shares beneficially owned by each of HCA and HCM. | |
