Explanatory Note

This Amendment No. 10 amends the statement on Schedule 13D filed with the Securities and Exchange Commission by Knighthead Capital Management, LLC (the “Reporting Person”) on August 7, 2019, as amended (the “Schedule 13D”), with respect to common stock of PG&E Corporation (the “Company”). Capitalized terms used but not defined in this Amendment No. 10 have the meanings set forth in the Schedule 13D.

This Amendment No. 10 constitutes an exit filing for the Reporting Person.

The Schedule 13D filings of the Other Shareholder and amendments thereto are incorporated herein to the extent required by law.

 

Item 4.

Purpose of Transaction.

On March 30, 2020, the Reporting Person and the Other Shareholder terminated the Investor Agreement pursuant to its terms as well as their status as a “group” with respect to the Shares for purposes of Section 13(d)(3) of the Act and Rule 13d-5(b)(1) thereunder. The Reporting Person reserves the right in the future to take any and all actions with respect to the Company or any interest in it, which could include any matter listed in paragraphs (a) through (j) of Item 4 of Schedule 13D.
