The number shares of Common Stock beneficially owned by the Filers reported in this Schedule 13G includes shares of Common Stock issuable on conversion of shares of the Issuer’s Series A-1 Convertible Preferred Stock beneficially owned by the Filers. Each share of Series A-1 Convertible Preferred Stock converts into 1,000 shares of Common Stock, subject to a 9.9% ownership limitation.
The percentages reported in this Schedule 13G are based on 52,317,138 shares of Common Stock outstanding as of November 7, 2022, as reported in the Issuer’s Form 10-Q filed on November 14, 2022.
