Each Unit consists of one share of Class A common stock and one-half of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one share of Class A common stock, and only whole warrants are exercisable. Each warrant will become exercisable on the later of 30 days after the completion of an initial business combination ("Initial Business Combination"), as described in more detail in the Issuer's prospectus filed with the SEC on January 26, 2021 (the "Prospectus"), or 12 months from the date of the Prospectus, and will expire five years after the completion of the Initial Business Combination or earlier upon redemption or liquidation.
