The reporting person has sole voting power and sole dispositive power with respect to these shares. |

Consists of (i) 63,701 shares of Class A common stock and 5,771,477 shares of Class B common stock held of record by Mr. Lawson, as trustee of the Lawson Revocable Trust and (ii) 323,170 shares of Class B common stock held of record by the Lawson 2014 Irrevocable Trust, J.P. Morgan Trust Company, as trustee. Erica Lawson, Mr. Lawsons wife, is also a trustee of the Lawson Revocable Trust. Mr. Lawson serves on an investment committee that holds voting and dispositive power over the Lawson 2014 Irrevocable Trust. The reporting person has shared voting power and shared dispositive power with respect to these shares. |

Each share of Class A common stock is entitled to one vote and each share of Class B common stock is entitled to ten votes. Each share of Class B common stock is convertible into one share of Class A common stock at any time at the option of the holder and upon the occurrence of certain other events as described in the Issuers Amended and Restated Certificate of Incorporation. In addition, each share of Class B common stock will automatically convert into one share of Class A common stock upon any transfer, except for certain permitted transfers described in the Issuers Amended and Restated Certificate of Incorporation. |
