Jeffrey Halis is the trustee of Halis, and possesses the sole power to vote and the sole power to direct the disposition of all Shares held by Halis. Mr. Halis, through two related entities has the sole power to vote and the sole power to direct the disposition of all Shares held by Tyndall.
