1On January 5, 2017, Paltalk, Inc. (f/k/a Snap Interactive, Inc. and PeerStream, Inc.) (the “Issuer”) effected a 1-for-35 reverse stock split of its issued and outstanding common stock (the “Reverse Stock Split”). As a result of the Reverse Stock Split, each issued and outstanding share of the Issuer’s common stock, and the per share exercise price of and number of shares of the Issuer’s common stock underlying its outstanding stock options, was automatically proportionally adjusted based on the 1-for-35 Reverse Stock Split ratio. Except as otherwise provided herein, all share and per-share amounts of the Issuer’s common stock have been adjusted to give effect to the Reverse Stock Split for all periods presented.
