ITEM 1. SECURITY AND ISSUER

 

This Schedule 13D (the “Schedule 13D”) relates to the common stock, par value $0.0001 per share (the “Common Stock”) of White River Energy Corp, a Nevada corporation (the “Issuer”). The principal executive offices of the Issuer are located at 609 W/ Dickson St., Suite 102 G, Fayetteville, AR.

 

ITEM 2. IDENTITY AND BACKGROUND

 

(a) This statement is filed on behalf of Jay Puchir (the “Filing Person”).

 

(b) The principal business address of the Filing Person is c/o White River Energy Corp, 609 W/ Dickson St., Suite 102 G, Fayetteville, AR.

 

(c) The Filing Person’s principal occupation is serving as Chief Financial Officer and as a director of the Issuer, as well as Chief Financial Officer of RiskOn International, Inc.

 

(d) During the last five years, the Filing Person has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

 

(e) During the last five years, the Filing Person has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding were or are subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violations with respect to such laws.

 

(f) The Filing Person is a citizen of the United States of America.

 

ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

 

Atikin Investments LLC, an entity which the Filing Person controls, received 687,063 shares of the Issuer’s Common Stock in November 2019 in exchange for shares of Banner Midstream Corp. in a reverse merger transaction.

 

Overcoming the Odds Foundation received 800,000 shares of the Issuer’s Common Stock as a charitable donation.

 

The Filing Person is entitled to receive 500,000 shares of Common Stock within 60 days of November 27, 2023 upon vesting of RSUs granted to him as compensation for his services as an officer of the Issuer.

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER

Aggregate Number and Percentage of Class of Securities

 

The beneficial ownership percentages disclosed below are based on 18,079,468 shares of Common Stock outstanding as of November 7, 2023, as reported in the Issuer’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on November 8, 2023. The Filing Person is deemed to beneficially own (as that term is defined in Rule 13d-3 under the Securities Exchange Act of 1934) the shares of the Issuer’s common stock held by the entities listed in the table above, although he does not have a pecuniary interest in the shares held by Overcoming the Odds Foundation. To the extent the Filing Person is deemed to beneficially own such shares, the Filing Person disclaims beneficial ownership of these securities for all other purposes. In addition, the Filing Person beneficially owns in his individual capacity 500,000 RSUs which vest within 60 days.

   
(b) Except for the 500,000 shares underlying RSUs, the Filing Person has voting and dispositive power over the Issuer’s securities as described above in Item 5(a).
   
(c) No reportable transactions occurred during the past 60 days prior to the date hereof.
   
(d) To the best knowledge of the Filing Person, except with respect to the shares held by the entities set forth in the table above, no person, other than the Filing Person, is known to have the right to receive or the power to direct the receipt of dividends from, or any proceeds from the sale of, the securities of the Issuer beneficially owned by the Filing Person.
