ITEM 1. SECURITY AND ISSUER

 

This Schedule 13D (the “Schedule 13D”) relates to the common stock, par value $0.001 per share (the “Common Stock”) of Vado Corp., a Nevada corporation (the “Issuer”). The principal executive offices of the Issuer are located at 13468 Beach Ave, Marina del Rey, CA 90292.

 

ITEM 2. IDENTITY AND BACKGROUND

 

(a) This statement is filed on behalf of Jason Wulfsohn (the “Reporting Person”).

 

(b) The principal business address of the Reporting Person is c/o Vado Corp., 613468 Beach Ave, Marina del Rey, CA 90292.

 

(c) The Reporting Person’s principal occupation is serving as Chief Executive Officer and director of the Issuer.

 

(d) During the last five years, the Reporting Person has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

 

(e) During the last five years, the Reporting Person has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding were or are subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violations with respect to such laws.

 

(f) The Reporting Person is a citizen of the United States of America.

 

ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

 

(1) On February 24, 2023, the Issuer completed the share exchange (the “Exchange”) contemplated by the Share Exchange Agreement (the “Exchange Agreement”) dated January 30, 2023 with Socialcom, Inc. (“Socialcom”) and the stockholders of Socialcom signatory thereto. Pursuant to the Exchange, the Issuer issued the Socialcom stockholders signatory thereto a total of 169,434,640 shares of the Issuer’s common stock, representing approximately 96% of the shares of the Issuer’s outstanding common stock after giving effect to such issuance, in exchange for all of the shares of Socialcom common stock held by such Socialcom stockholders. As a result of the Exchange, Socialcom became an approximately 96.6% owned subsidiary of the Issuer. The remaining minority shareholders of Socialcom subsequently exchanged their Socialcom shares for Issuer shares, resulting in Socialcom becoming a wholly-owned subsidiary of the Issuer. In the Exchange, the Reporting Person exchanged his 8,492,779 shares of Socialcom common stock for 74,311,816 shares of the Issuer’s common stock, and was also appointed as Chief Executive Officer and as a director of the Issuer.

 

(2) On May 16, 2023, Socialcom borrowed $1,300,000 from an entity controlled by the Reporting Person and issued the lender a fixed-rate convertible promissory note in the principal amount of $1,300,000. The note accrues interest at 7.25% per annum and matures in December, 2025. The interest rate is subject to increase to 18% upon the occurrence of an event of default. The principal and accrued interest on this note is convertible into the Issuer’s common stock at a conversion price of $0.32 per share.

 

(3) On November 15, 2023, the Issuer borrowed $625,000 from an entity controlled by the Reporting Person and issued the lender a fixed-rate convertible promissory note in the principal amount of $625,000. The note has a maturity date of December 31, 2025 and bears interest at a rate of 8.5% per annum, subject to increase to 18% upon the occurrence of an event of default. Under the terms of the note, the holder may convert all or part of the outstanding balance into shares of the Issuer’s common stock at a conversion price of $0.32 per share, subject to adjustment.

The beneficial ownership percentages disclosed below are based on 182,492,222 shares of Common Stock outstanding as of October 30, 2023, as reported in the Issuer’s Offering Circular on Form 1-A as filed with the Securities and Exchange Commission on November 21, 2023.

The Reporting person has sole voting and dispositive power over the Issuer’s securities reported herein as beneficially owned by him, subject to the pledge described in Item 6 with respect to the shares of commons stock he holds.

To the best knowledge of the Reporting Person, no person, other than the Reporting Person, is known to have the right to receive or the power to direct the receipt of dividends from, or any proceeds from the sale of, the securities of the Issuer beneficially owned by the Reporting Person.

ITEM 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO SECURITIES OF THE ISSUER

On September 18, 2023, the Issuer and Socialcom entered into an amendment to the accounts receivable financing and security agreement (the “Financing Agreement”) originally entered into between Socialcom as borrower and SLR Digital Finance, LLC as lender and certain related agreements pursuant to which, among other things, (i) the Reporting Person pledged his 74,311,816 shares of the Issuer’s common stock to secure the indebtedness under the Financing Agreement (the “Pledge”) and guaranteed payment of such indebtedness, (ii) pledged its assets, including the shares of Socialcom common stock it holds representing 100% of the outstanding Socialcom common stock as collateral to secure such indebtedness under the Financing Agreement and guaranteed payment of such indebtedness, (iii) the interest rate of the loan facility was increased to 5% plus the “prime rate,” which is defined as the higher of the highest rate as reported by the Wall Street Journal or 8.5%, and (iv) the definition of event of default thereunder was revised to include a final, non-appealable judgment in respect of the Issuer’s litigation with Zeta Global Corp. The Financing Agreement as amended has a maximum loan amount of $2,000,000 and an interest rate per annum equal to 5% plus the “prime rate,” which is defined as the higher of the highest rate as reported by the Wall Street Journal or 8.5%. The Financing Agreement is subject to an early termination fee equal to 2% of the maximum amount available under the Financing Agreement. Further, the Financing Agreement provides that Socialcom shall at all times use at least 20% of the maximum amount. Upon any event of default, the lender may, among other things, immediately demand repayment of all advanced amounts thereunder, or foreclose on the collateral. The Financing Agreement provides, among other things, that the lender can immediately terminate the Financing Agreement and demand payment.
