(1) Comprises 353,703 shares of Class B common stock, par value $0.001 per share (the “Class B common stock”), held by Labore et Honore LLC and 71,022 shares of Class B common stock held by Clarke Capital Partners LLC (collectively, the “Clarke Capital Entities”) and 1,792 shares of Class A common stock, par value $0.001 per share (the “Class A common stock” and, together with the Class B common stock, the “common stock”), held by Mr. Clarke. As the Manager of the Clarke Capital Entities, Mr. Clarke has voting and investment control over and may be deemed to be the beneficial owner of shares held by the Clarke Capital Entities. Also includes 239,916 shares of Class B common stock held by the Andrea M. Clarke Irrevocable Trust, dated December 27, 2012 of which Mr. Clarke is the trustee.

The class of equity security to which this Schedule 13G relates is the Class A common stock of the Issuer, which Class A common stock is publicly traded and entitles the holder thereof to one (1) vote per share. The ownership reflected above is of shares of both Class A common stock of the Issuer and Class B common stock of the Issuer, which Class B common stock is not publicly traded. Class B common stock entitles the holder to one (1) vote per share and is convertible (along with an equal number of LLC Units) at any time into shares of Class A common stock on a one-for-one basis at the option of the shareholder. As a result, under Rule 13d-3, a holder of Class B common stock is deemed to have beneficial ownership which such shareholder may acquire upon conversion of the Class B common stock.
