* The shares of Class A common stock, par value $0.0001 per share (the “Shares”) of Alussa Energy Acquisition Corp., a blank check company incorporated in the Cayman Islands (the “Issuer”), reported herein are held in the form of units (the “Units”). Each Unit consists of one share of Class A common stock and one-half of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one share of Class A common stock, and only whole warrants are exercisable. Each warrant will become exercisable on the later of 30 days after the completion of an initial business combination (“Initial Business Combination”), as described in more detail in the Issuer’s prospectus dated November 25, 2019 and filed with the SEC on November 27, 2019 (the “Prospectus”), or 12 months from the date of the Prospectus, and will expire five years after the completion of the Initial Business Combination or earlier upon redemption or liquidation. The warrants are not presently exercisable and contain provisions that would prevent the holder from exercising in the event that it would cause the holder to beneficially own in excess of 9.8% (or such other amount as specified by the holder) of the Issuer’s outstanding shares of common stock.
The Units are held by RP Select Opportunities Master Fund Ltd., RP Debt Opportunities Fund Ltd. and RP Alternative Global Bond Fund (the “Funds”), which are managed by RP Investment Advisors LP, an Ontario limited partnership (the “Advisor”). The Advisor, in its capacity as the investment manager of the Funds, has the power to vote and the power to direct the disposition of all Units held by the Funds. Accordingly, for the purposes of Reg. Section 240.13d-3, the Advisor may be deemed to beneficially own an aggregate of 1,800,000 Shares, or 6.26% of the 28,750,000 Shares that were issued and outstanding following the issuance made pursuant to the Prospectus.
This report shall not be deemed an admission that the Advisor, the Funds or any other person is the beneficial owner of the securities reported herein for purposes of Section 13 of the Securities Exchange Act of 1934, as amended, or for any other purpose. Each of the reporting persons herein disclaims beneficial ownership of the Shares reported herein except to the extent of the reporting person’s pecuniary interest therein.
