Introductory Statement
This Amendment No. 3 (this “Amendment”) amends the Schedule 13D originally filed by the Reporting Person with the Securities and Exchange Commission (the “SEC”) on September 25, 2020 (the “Schedule 13D”), with respec
t to the Class I Common Shares of Beneficial Interest, $0.001 Par value
(the “Shares”), of First Eagle Credit Opportunities Fund, a closed-end management investment company organized as a Delaware statutory trust (the “Issuer”). Except as otherwise provided herein, each item of the Schedule 13D remains unchanged. Capitalized terms used herein but not otherwise defined shall have the meaning set forth in the Schedule 13D.
Item 5. Interest in Securities of the Issuer.
Item 5 (a)-(b) is hereby amended and restated as follows:
(a) As of the date of this Amendment, the Reporting Person held in aggregate 1,610,888 Shares, representing 68.68% of the outstanding Shares.
(b) The Reporting Person has shared voting and dispositive power over 1,610,888 Shares.
