Explanatory Note
This Amendment No. 2 to Schedule 13D (this "Amendment No. 1") amends and supplements the Schedule 13D originally filed with the United States Securities and Exchange Commission (the "SEC") on December 27, 2020 (the "Schedule 13D"), relating to the shares of Class A common stock, par value $0.0001 value per share (the "Class A Common Stock"), of Sprout Social, Inc. (the "Issuer") beneficially owned by the Reporting Person. Capitalized terms used herein without definition shall have the meaning set forth in the Schedule 13D, as amended.
Item 4. Purpose of Transaction
Item 4 of the Schedule 13D is hereby amended and supplemented as follows:

On July 29, 2020, BRJ advised the Reporting Person that it had sold 688,326 shares of Class A Common Stock. Accordingly, pursuant to the terms of the BRJ Voting Agreement, Mr. Howard no longer has voting power over such shares of Class A Common Stock.
Item 5. Interest in Securities of the Issuer
Item 5 of the Schedule 13D is hereby amended and restated in its entirety as follows:

The Reporting Person may be deemed to beneficially own 9.7% of the outstanding Class A Common Stock based on 40,961,808 Class A Common Stock outstanding as of June 30, 2020 and assuming the exchange of all shares of Class B Common Stock beneficially owned by the Reporting Person on a one-for-one basis.
The Reporting Person may be deemed to have sole voting power with respect to: (i) 400,000 shares of Class A Common Stock held by BRJ, (ii) 161,205 shares of Class A Common Stock held by Litani, (iii) 2,693,971 and 300,000 shares of Class B Common Stock held by the JRH Revocable Trust and EEH Gift Trust, respectively, of which the Reporting Person serves as the sole trustee and (iv) 451,524 shares of Class B Common Stock held of record by the Reporting Person. The Reporting Person may also be deemed to have sole dispositive power with respect to the foregoing shares, other than the shares of Class A Common Stock held by BRJ and Litani.
The Reporting Person may be deemed to have shared voting and dispositive power with respect to 285,000 and 50,000 shares of Class B Common Stock held by the JRH Gift Trust and EEH Revocable Trust, respectively, of which the Reporting Person’s spouse serves as the sole trustee. The Reporting Person disclaims beneficial ownership of such shares.
(c) Except as described in Item 4 and as set forth below, during the past 60 days the Reporting Person has not effected any transactions in the Class A Common Stock. Each transaction set forth below was reported on a Form 4 filed by the Reporting Person.
On June 3, 2020, the Reporting Person disposed of 53,566 shares of Class B Common Stock in satisfaction of the tax liability due in connection with the settlement of an award to the Reporting Person under the Issuer’s 2019 Class B Incentive Award Plan.
On July 8, 2020, the Reporting Person converted an aggregate of 100,000 shares of Class B Common Stock into Class A Common Stock and sold such shares pursuant to the Trading Plan. 94,200 shares of Class A Common Stock were sold in multiple transactions rangin
g from $27.20 to $28.19 per share, inclusive. The weighted average transaction price per share was $27.904. 5,800 shares of Class A Common Stock were sold in multiple transactions at prices ranging from $28.20 to $28.34 per share, inclusive.The weighted average transaction price per share was $28.227. The Reporting Person undertakes to provide the Issuer, any security holder of the Issuer, or to the staff of the SEC, upon request, full information regarding the number of shares sold at each separate price within the range set forth above.

Except as set forth herein, the Reporting Person does not have any contracts, arrangements, understandings or relationships (legal or otherwise) with any person with respect to any securities of the Issuer, including but not limited to any contracts, arrangements, understandings or relationships concerning the transfer or voting of such securities, finder’s fees, joint ventures, loan or option arrangements, puts or calls, guarantees of profits, division of profits or losses, or the giving or withholding of proxies.
