Pursuant to Rule 13d-2 promulgated under the Act, this Amendment No. 5 to Schedule 13D (this “Amendment
No. 5”) is being filed with respect to the common stock, par value $0.001 per share (“Common Stock”), of NeuroBo Pharmaceuticals, Inc. (the “Issuer”), to amend the Schedule 13D filed on March 11, 2021 (the “Original 13D”
and, as amended by Amendment No. 1 filed on August 30, 2021 (“Amendment No. 1”), Amendment No. 2 filed on September 1, 2021 (“Amendment No. 2”), Amendment No. 3 filed on September 16, 2022 (“Amendment No. 3”), Amendment No. 4
filed on November 10, 2022 (“Amendment No. 4”) and this Amendment No. 5, the “Schedule 13D”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Schedule 13D.
Item 3. Source and Amount of Funds or Other Consideration
Item 3 of the Schedule 13D is hereby amended and supplemented by the following:
On December 22, 2022, at a special meeting of stockholders of the
Issuer, the stockholders of the Issuer approved, for purposes of complying with Nasdaq Listing Rules 5635(a), (b) and (d), the issuance of shares of Common Stock upon (i) conversion of the 3,700 shares of Series A Convertible Preferred Stock, par
value $0.001 per share (the “Series A Preferred Shares”), and (ii) exercise of the Series A Warrants and Series B Warrants to purchase an aggregate of 10,000,000 shares of Common Stock, in each case held by the Reporting Person. As a result of
such approval, on December 23, 2022, pursuant to the terms of the Certificate of Designation of Preferences, Rights and Limitations of the Series A Preferred Shares, the Series A Preferred Shares automatically converted into 12,333,333 shares of
Common Stock.
Item 5. Interest in Securities of the Issuer
Item 5 of the Schedule 13D is hereby amended and restated as follows:
(a), (b) As of the date hereof, the Reporting Person may be deemed to
beneficially own 12,429,353 shares of Common Stock, representing approximately 65.5% of the Issuer’s Common Stock outstanding, calculated using a denominator equal to the sum of (i) 4,035,696 shares of Common Stock reported by the Issuer as
outstanding as of November 8, 2022, (ii) 12,333,333 shares of Common Stock (issued upon the automatic conversion of 3,700 shares of the Issuer’s Series A Convertible Preferred Stock issued to the Reporting Person under the Securities Purchase
Agreement and the License Agreement) and (iii) 2,602,997 shares of Common Stock (issued upon the conversion of 2,602,997 shares of the Issuer’s Series B Convertible Preferred Stock), in each case as set forth in the Issuer’s Current Report on Form
8-K filed with the Commission on November 8, 2022, for a total of 18,972,026 shares of Common Stock outstanding.
