As of December 31, 2020, the Reporting Persons owned 7,395,937 Class B Ordinary Shares of the Issuer, which are convertible into an equal number of Class A Ordinary Shares of the Issuer, representing 12.5% of the Issuer’s outstanding Shares. The percentage ownership was calculated assuming that 59,145,937 Class A Ordinary Shares are outstanding based on the sum of (i) 51,750,000 Class A Ordinary Shares outstanding as of November 12, 2020, as reported in the Issuer’s Quarterly Report on Form 10-Q filed with the SEC for the period ended September 30, 2020, and (ii) 7,395,937 Class A Ordinary Shares issuable upon the conversion of the 7,395,937 Class B Ordinary Shares owned by the Sponsor.
 
This Schedule 13G excludes 4,734,167 Class A Ordinary Shares issuable upon the exercise of 4,734,167 private placement warrants held directly by the Sponsor. Each warrant becomes exercisable to purchase one Class A Ordinary Share at $11.50 per share, subject to adjustment, 30 days after the completion of the Issuer’s initial business combination and expires five years after the completion of the Issuer’s initial business combination or earlier upon redemption or liquidation.
