Item 3. Source and Amount of Funds or Other Considerations:  An aggregate of approximately $23,500,000 has been invested in the Issuer.  None of the funds have been borrowed.

 

Item 4. Purpose of Transaction:  There are no plans or proposals which the reporting person has which may result in any of the matters listed.

 

Item 5. Interest in Securities of the Issuer:

24% based on 38,823,681 voting securities disclosed by the Issuer in its Prospectus dated April 19, 2021.

 

 

(b)

Sole Voting Power – 9,314,593 shares of common stock includes 6,013,160 shares issuable upon automatic conversion of the Issuer’s Series C Preferred Stock and 1,466,667 shares issuable upon automatic conversion of the Series D Preferred Stock upon the Issuer’s uplisting to the Nasdaq Capital Market on April 20, 2021; and 722,883 shares issuable upon exercise of Investor Warrants.

On April 20, 2021, the reporting person purchased 722,883 shares of common stock and 722,883 investor warrants in the Company’s initial public offering at $4.15 combined price per share and warrant.
