(a) The name of the issuer is COMPASS Pathways plc (the “Issuer”).

 

(b)The principal executive offices of the Issuer are located at 33 Broadwick Street, London W1F 0DQ, United Kingdom.

(a)This Schedule 13G is filed by the following (the “Reporting Persons”): (1) Paradigm BioCapital Advisors LP (the “Adviser”); (2) Paradigm BioCapital Advisors GP LLC (the “GP”); (3) Senai Asefaw, M.D. (“Senai Asefaw”), a nd (4) Paradigm BioCapital International Fund Ltd. (the “Fund”). The Fund is a private investment vehicle. The Fund and a separately managed account managed by the Adviser (the “Account”) directly beneficially own the Ordinary Shares (as defined below) reported in this Statement. The Adviser is the investment manager of the Fund and the Account. The GP is the general partner of the Adviser. Senai Asefaw is the managing member of the GP. The Adviser, the GP, and Senai Asefaw may be deemed to beneficially own the Ordinary Shares directly beneficially owned by the Fund and the Account. Each Reporting Person disclaims beneficial ownership with respect to any Ordinary Shares other than the Ordinary Shares directly beneficially owned by such Reporting Person.

Of the 3,425,988 Ordinary Shares reported, 3,078,277 are held by the Fund (inclusive of 1,160,000 Ordinary Shares underlying warrants that are exercisable within 60 days), and 347,711 are held by the Account.

 

As of the close of business on the Event Date of December 20, 2023, the Reporting Persons collectively beneficially owned 3,325,988 Ordinary Shares, 2,978,277 of which were held by the Fund (inclusive of 1,160,000 Ordinary Shares underlying warrants that were exercisable within 60 days), and 347,711 of which were held by the Account, together representing 5.3% of all of the outstanding Ordinary Shares.

 

The percentages of beneficial ownership contained herein are based on: (x) 61,896,535 Ordinary Shares outstanding as of October 30, 2023, as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission on November 2, 2023; and (y) 1,160,000 Ordinary Shares underlying the warrants described above.
