Joseph DaGrosa, Jr. may be deemed to beneficially own an aggregate of 4,011,433 shares of Common Stock, including (x) 2,960,714 Common Stock held by Mr. DaGrosa and (y) 2333 Ponce de Leon Blvd., Suite 630, Coral Gables, FL 33134 held by the Trust. The shares held by the Percent of class represen ted is based on 31,660,576 shares of Common Stock issued and outstanding as of September 30, 2022, as reported on the Issuer’s Form 10-Q, filed with the Securities and Exchange Commission on October 31, 2022, plus 328,138 shares of Common Stock underlying 328,138 Warrants.
