(the “Company”), par value $0.0001 per share (“Class A Ordinary Shares”), issuable upon conversion of 5,905,000 Class B shares of the Company’s ordinary shares, par value $0.0001 per share (“Class B Ordinary Shares”), held directly by Rigel Resource Acquisition Holdings LLC (the “Sponsor”). The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Company’s initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment.

(1) Reflects 5,905,000 Class A Ordinary Shares issuable upon conversion of 5,905,000 Class B Ordinary Shares held by Sponsor and 1,170,000 Class A Ordinary Shares issuable upon conversion of 1,170,000 Class B Ordinary Shares held by Orion Mine Finance GP III LP. The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Company’s initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment. The sole member of the Sponsor is Orion Mine Finance Fund III, LP, whose general partner is Orion Mine Finance GP III LP. The general partner of Orion Mine Finance GP III LP is a limited liability company of which Oskar Lewnowski is indirectly the sole voting member. Mr. Lewnowski may be deemed to beneficially own shares held by the Sponsor and Orion Mine Finance GP III LP by virtue of his control over the Sponsor and Orion Mine Finance GP III LP.
(2) The calculation assumes that there is a total of 37,075,000 Class A Ordinary Shares outstanding, which is the sum of (i) the 30,000,000 Class A Ordinary Shares outstanding as of November 8, 2021, as reported in the Report as of November 9, 2021, and (ii) the 7,075,000 Class A Ordinary Shares issuable upon conversion of the Class B Ordinary Shares beneficially owned by Mr. Lewnowski.

AGREEMENT OF JOINT FILING
This joint filing agreement (this “Agreement”) is made and entered into as of this 14th day of February 2022, by and among Rigel Resource Acquisition Holding LLC and Oskar Lewnowski.
The parties to this Agreement hereby acknowledge and agree that the foregoing statement on Schedule 13G in respect of the Class A Ordinary Shares, par value $0.0001 per share, of Rigel Resource Acquisition Corp., is filed on behalf of each of the parties to this Agreement and that all subsequent amendments to this statement on Schedule 13G may be filed on behalf of each of the undersigned without the necessity of filing additional joint filing agreements. The parties to this Agreement acknowledge that each shall be responsible for the timely filing of such amendments, and for the completeness and accuracy of the information concerning him or it contained herein or therein, but shall not be responsible for the completeness and accuracy of the information concerning the others, except to the extent that he or it knows or has reason to believe that such information is inaccurate.
This agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute one and the same instrument.
