This Schedule 13D is filed on behalf of 10X Capital SPAC Sponsor III LLC, a Cayman Islands limited liability company (the Sponsor) and Hans Thomas (collectively, the Reporting Persons).

Item 2. Identity and Background.
(a) This statement is filed by:
(i) the Sponsor, which is the holder of record of approximately 26.4% of the issued and outstanding shares of all classes of ordinary shares of the Issuer (41,158,000) based on the number of Class A Ordinary Shares (31,153,000) and Class B ordinary shares, $0.0001 par value (Class B Ordinary Shares and together with the Class A Ordinary Shares, the Ordinary Shares) (10,005,000) outstanding as of January 14, 2022, as reported by the Issuer in Exhibit 99.1 to its Current Report on Form 8-K, filed by the Issuer with the Securities and Exchange Commission (the SEC) on January 21, 2021;
(ii) the Manager, the sole manager of the Sponsor; and
(ii) Hans Thomas and David Weisburd, each an officer and director of the Issuer and a managing member of the Sponsor.
All disclosures herein with respect to any Reporting Person are made only by such Reporting Person. Any disclosures herein with respect to persons other than the Reporting Persons are made on information and belief after making inquiry to the appropriate party.
(b) The address of the principal business and principal office of each of the Reporting Persons is 1 World Trade Center, 85th Floor, New York, New York 10007.
(c) The Reporting Persons principal business is to act as the Issuers sponsor, or managing member of such sponsor, in connection with the IPO and potential business combination. Mr. Thomas is the Chief Executive Officer of the Issuer and a managing member of the Manager. Mr. Weisburd is the Chief Operating Officer and Head of Origination of the Issuer and a managing member of the Manager.
(d) None of the Reporting Persons has, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).
(e) None of the Reporting Persons has, during the last five years, been a party to civil proceeding of a judicial administrative body of competent jurisdiction and, as a result of such proceeding, was, or is subject to, a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, Federal or state securities laws or finding any violation with respect to such laws.
(f) The Sponsor is a Cayman Islands limited liability company. The Manager is a Delaware limited liability company. Hans Thomas and David Weisburd are both citizens of the United States.
Item 3. Source and Amount of Funds or Other Consideration.
The aggregate purchase price for the Ordinary Shares currently beneficially owned by the Reporting Persons was $8,835,000. The source of these funds was the working capital of the Sponsor.
Item 4. Purpose of Transaction.
In connection with the organization of the Issuer, on February 18, 2021, 11,672,500 Class B Ordinary Shares (the Founder Shares) were purchased by the Sponsor for the amount of $25,000, pursuant to a Securities Subscription Agreement, dated February 18, 2021, between the Sponsor and the Issuer (the Subscription Agreement), as more fully described in Item 6 of this Schedule 13D which information is incorporated herein by reference. On December 1, 2021, the Sponsor surrendered 2,089,167 Founder Shares for no consideration, resulting in the Sponsor holding 9,583,333 Founder Shares. On January 11, 2022, the Issuer effected a share capitalization of 421,667 founder shares, resulting in the Sponsor holding 10,005,000 Founder Shares.

On January 14, 2022, simultaneously with the consummation of the Issuers initial public offering (IPO), the Sponsor purchased 881,000 units (Placement Units) of the Issuer at $10.00 per Placement Unit, pursuant to a Private Placement Units Purchase Agreement, dated January 11, 2022, by and between the Issuer and the Sponsor (the Units Purchase Agreement), as more fully described in Item 6 of this Schedule 13D, which information is incorporated herein by reference. Each Placement Unit consists of one Class A Ordinary Share upon the consummation of a business combination, and one-half of one warrant (the Private Placement Warrants), each whole warrant exercisable to purchase one Class A Ordinary Share, at an exercise price of $11.50 per whole share (as described more fully in the Issuers Final Prospectus dated January 11, 2022).
The Ordinary Shares owned by the Reporting Persons have been acquired for investment purposes. The Reporting Persons may make further acquisitions of the Ordinary Shares from time to time and, subject to certain restrictions, may dispose of any or all of the Ordinary Shares held by the Reporting Persons at any time depending on an ongoing evaluation of the investment in such securities, prevailing market conditions, other investment opportunities and other factors. However, certain of such shares are subject to certain lock-up restrictions as further described in Item 6 below.
Except for the foregoing, the Reporting Persons do not have any present plan or proposal which would relate to or result in any of the matters set forth in subparagraphs (a) and (c) through (j) of Item 4 of Schedule 13D except as set forth herein or such as would occur upon or in connection with completion of, or following, any of the actions discussed herein. The Reporting Persons have acquired the shares reported herein for investment purposes. The Reporting Persons intend to review their investment in the Issuer on a continuing basis. Depending on various factors including, without limitation, the Issuers financial position and investment strategy, the price levels of the Issuers ordinary shares, conditions in the securities markets and general economic and industry conditions, the Reporting Persons and their representatives may in the future take such actions with respect to their investment in the Issuer as they deem appropriate, including, without limitation, engaging in communications with members of the Issuers board of directors, members of the Issuers management and/or other shareholders of the Issuer from time to time with respect to potential business combination opportunities and operational, strategic, financial or governance matters, or otherwise work with management and the Issuers board of directors to identify, evaluate, structure, negotiate, execute or otherwise facilitate a business combination, purchasing additional shares and/or warrants, selling some or all of its ordinary shares and/or warrants, engaging in short selling of or any hedging or similar transaction with respect to the ordinary shares, including swaps and other derivative instruments, or changing its intention with respect to any and all matters referred to in Item 4. Among other things, the Reporting Persons may introduce the Issuer to potential candidates for a business combination, or propose one or more business combinations with potential candidates, which may include candidates that are affiliates of one or more Reporting Persons or in which one or more Reporting Persons otherwise has an equity or other interest. The Reporting Persons may purchase the Issuers ordinary shares and/or warrants in privately negotiated transactions or in the open market either prior to, in connection with or following the completion of the Issuers initial business combination. The purpose of any such purchases of shares could be to vote such shares in favor of the business combination and thereby increase the likelihood of obtaining shareholder approval of the business combination or to satisfy a closing condition in an agreement with a target that requires the Issuer to have a minimum net worth or a certain amount of cash at the closing of the Issuers initial business combination, where it appears that such requirement would otherwise not be met. The purpose of any such purchases of warrants could be to reduce the number of warrants outstanding or to vote such warrants on any matters submitted to the warrant holders for approval in connection with the Issuers initial business combination. Any such purchases of the Issuers securities may result in the completion of the initial business combination that may not otherwise have been possible.
With respect to paragraph (b) of Item 4, the Issuer is a newly organized blank check company formed for the purpose of effecting a merger, capital share exchange, asset acquisition, share purchase, reorganization or other similar business combination with one or more businesses or entities. Under various agreements between the Issuer and the Reporting Persons as further described in Item 6 below, the Reporting Persons have each agreed (A) to vote its shares in favor of any proposed business combination and (B) not to redeem any shares in connection with a shareholder vote (or tender offer) to approve (or in connection with) a proposed initial business combination. The Reporting Persons may, at any time and from time to time, review or reconsider their position, change their purpose or formulate plans or proposals with respect to the Issuer.

Founder Securities Subscription Agreement between the Issuer and Sponsor
In connection with the organization of the Issuer, on February 18, 2021, 11,672,500 Founder Shares were purchased by the Sponsor for the amount of $25,000, pursuant to the Subscription Agreement. On December 1, 2021, the Sponsor surrendered 2,089,167 Founder Shares for no consideration, resulting in the Sponsor holding 9,583,333 Founder Shares. On January 11, 2022, the Issuer effected a share capitalization of 421,667 founder shares, resulting in the Sponsor holding 10,005,000 Founder Shares. The Subscription Agreement provided that up to 1,305,000 Founder Shares purchased by the Sponsor were subject to forfeiture to the extent that the underwriter of the IPO did not exercise its overallotment option in full. On January 14, 2022, the underwriter partially exercised the over-allotment option, thus only 5,000 Founder Shares remain subject to forfeiture.

Units Purchase Agreement between the Issuer and Sponsor
On January 14, 2022, simultaneously with the consummation of the IPO, the Sponsor purchased 881,000 Placement Units pursuant to the Units Purchase Agreement. The Placement Units and the securities underlying such Placement Units are subject to a lock up provision in the Units Purchase Agreement, which provides that such securities shall not be transferable, saleable or assignable until 30 days after the consummation of the Issuers initial business combination, subject to certain limited exceptions as described in the Insider Letter.

Insider Letter
On January 11, 2022, in connection with the IPO, the Issuer and the Sponsor entered into a letter agreement (the Insider Letter). Pursuant to the Insider Letter, the Sponsor agreed (A) to vote its Founder Shares, any Ordinary Shares underlying the Placement Units and any public shares in favor of any proposed business combination, (B) not to propose an amendment to the Issuers Amended and Restated Memorandum and Articles of Association that would modify the substance or timing of the Issuers obligation to redeem the public shares if the Issuer does not consummate a business combination within 12 months from the completion of the initial public offering, unless the Issuer provides the holders of public shares with the opportunity to redeem such shares upon approval of any such amendment at a per-share price, payable in cash, equal to the aggregate amount then on deposit in the Issuers trust account set up in connection with the IPO (the Trust Account), (C) not to redeem any Founder Shares and any shares underlying the Placement Units into the right to receive cash from the Trust Account in connection with a shareholder vote to approve the Issuers proposed initial business combination or a vote to amend the provisions of the Issuers Amended and Restated Memorandum and Articles of Association relating to shareholders rights or pre-business combination activity and (D) that the Founder Shares and any Ordinary Shares underlying the Placement Units shall not participate in any liquidating distribution upon winding up if a business combination is not consummated. The Sponsor also agreed that in the event of the liquidation of the Trust Account of the Issuer (as defined in the Insider Letter), it will indemnify and hold harmless the Issuer against any and all loss, liability, claims, damage and expense whatsoever which the Issuer may become subject as a result of any claim by any vendor or other person who is owed money by the Issuer for services rendered or products sold to or contracted for the Issuer, or by any target business with which the Issuer has discussed entering into a transaction agreement, but only to the extent necessary to ensure that such loss, liability, claim, damage or expense does not reduce the amount of funds in the Trust Account; provided that such indemnity shall not apply if such vendor or prospective target business executes an agreement waiving any claims against the Trust Account.

Registration Rights Agreement
