*The Common Stock (the “Shares”) of the Issuer reported herein represents the approximate total number of Shares that ATW SPAC Management LLC (the “Adviser”) has the right to acquire upon exercise of its warrants. The warrants are held by one or more private funds managed by ATW SPAC Management LLC, a Delaware limited liability company (the “Adviser”), which has been delegated exclusive authority to vote and/or direct the disposition of such Shares held by sub-accounts of one or more pooled investment vehicles managed by a Delaware limited liability company. Antonio Ruiz-Gimenez is a managing member of the Adviser. Moreover, Antonio Ruiz-Gimenez is a managing member of an adviser that manages an entity that holds certain securities, including warrants, of the Issuer. Such entity is subject to a blocker which prevents the entity and its affiliates from exercising and/or converting certain of its securities to the extent that, upon such exercise or conversion, the reporting persons, together with its affiliates, would collectively beneficially own in excess of 4.99% of the Shares outstanding as a result of the conversion (the “Beneficial Ownership Limitations”).
For the purposes of Reg. Section 240.13d-3, the reporting persons herein may be deemed to beneficially own an aggregate of 2,479,229 Shares, or 4.99%. The percentage is based upon a statement in the Issuer’s 10-Q filed on November 14, 2022, that there were 47,250,771 Shares outstanding as of November 14, 2022, plus the approximate total number of Shares that the reporting persons have the right to acquire upon conversion and/or exercise of certain securities (which amount has been added to the Shares outstanding in accordance with Rule 13d-3(d)(i)(1) under the Act).
This report shall not be deemed an admission that any reporting person or any other person is the beneficial owner of the securities reported herein for purposes of Section 13 of the Securities Exchange Act of 1934, as amended, or for any other purpose. Each of the reporting persons herein disclaims beneficial ownership of the Shares reported herein except to the extent of the reporting person’s pecuniary interest therein.
