This form is being filed jointly because the Reporting Persons could be deemed to be a group for purposes of Schedule 13G even though there is no agreement between them with respect to the acquisition, retention, disposition or voting of shares of the Common Stock.
There are no contracts, arrangements, understandings or relationships (legal or otherwise) between John D. Gottwald, William M. Gottwald and James T. Gottwald and any other person with respect to securities of NewMa rket Corporation.
