Item 6. | Ownership of More Than Five Percent on Behalf of Another Person. |
Effective on January 1, 2024, the Reporting Person entered into a Stock Purchase and Sale Agreement with Gautam Patel (“Patel”), pursuant to which
the Reporting Person purchased from Patel 1,000 shares of the common stock of Tattva Fiduciary Company (“Tattva”), which constitute all of the issued and outstanding common stock of Tattva (the “Purchase Transaction”). Tattva is the sole
trustee of certain trusts (each, a “Trust” and collectively, the “Trusts”) that hold Class A Common Stock of the Issuer. In connection with the Purchase Transaction, the Reporting Person also became the sole owner of Tattva, effective as of
January 1, 2024. As a result of the Purchase Transaction, the Reporting Person has sole voting and dispositive power over, and may deemed to have beneficial ownership of, the shares of Class A Common Stock of the Issuer held by the Trusts of
which Tattva is the sole trustee.
This Schedule 13G is filed solely to report the Reporting Person’s deemed beneficial ownership of the shares of Class A Common Stock of the Issuer
held by the Trusts as a result of the Purchase Transaction. The Reporting Person does not otherwise have beneficial ownership of any shares of Class A Common Stock of the Issuer. Each Trust may have the right to receive dividends from, or
the proceeds from the sale of, the shares of Class A Common Stock that are held by such Trust. No individual Trust has an interest in any shares of Class A Common Stock that relates to more than five percent of the outstanding Class A Common
Stock.
