(Sherman Holdings); (ii) Sherman Trust which owns 35% of the voting shares of Shermco Inc. (Shermco); (iii) Sherman Holdings which owns 65% of the voting stock of Shermco; (iv) Shermco which owns all of the outstanding capital stock of Sherfam Inc. Explanatory Note: On March 15, 2013, Sherfam, Inc. agreed to extend the maturity date of a $1.4 million convertible promissory note of the Issuer that had matured February 28, 2013 but was not repaid. In exchange for the extension of the due date to January 31, 2014, the conversion price of the promissory note was reduced from $0.25 to $0.125, resulting in an increase of 5.6 million shares potentially acquirable from conversion of the promissory note. In addition, the exercise price of a five-year warrant to purchase 700,000 shares of the Issuers common stock, issued on the promissory notes origination date of August 30, 2011, was reduced from $0.44 to $0.22. The table below provides revised beneficial ownership information to reflect the change in the promissory note conversion price. |
