Danziger, the trustee of the Trust (the "Trustee," and together with Trust, the "Reporting Persons"). The Reporting Persons, individually and in the aggregate, have fallen below the five percent threshold of ownership of the common stock, par value $.01 per share (the "Common Stock"), of The Middleby Corporation, a Delaware corporation (the "Company"), for reporting under Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Act"). Item 5. Interest in Securities of the Issuer. Item 5 of the Original Schedule 13D, as amended, is hereby amended and restated in its entirety as follows: (a) and (b) As of the date hereof, the Reporting Persons do not beneficially own any shares of Common Stock and do not have sole or shared power to vote or direct the vote or to dispose or direct the disposition of any shares of Common Stock. (c) On December 23, 2004, the Trust sold all of 1,738,974 shares of Common Stock, which constituted each of the Reporting Person's entire beneficial ownership interest in the Company, to the Company for $42.00 per share. (d) Not applicable. (e) As of December 23, 2003, the Reporting Persons ceased to be beneficial owners of more than five percent of the Common Stock.
