Mr. Priest initially received 100,000 shares of the Company as compensation for consulting services.  As President of the Company, Mr. Priest receives 100,000 shares annually.  Mr. Priest also converted promissory notes in the amount of $13,638 into 13,638,000 shares.  Mr. Priest now owns 14,138,000 shares which is 39.29% of the total issued and outstanding shares.
