This Amendment No. 2 to Schedule 13G amends the previously filed Schedule 13G filed by Baker Bros. Advisors LP (the “Adviser”), Baker Bros. Advisors (GP) LLC (the “Adviser GP”), Julian C. Set forth below is the aggregate number of shares of Common Stock directly held by each of 667, L.P. (“667”) and Baker Brothers Life Sciences, L.P. (“Life Sciences”, and together with 667, the “Funds”), which may be deemed to be indirectly beneficially owned by the Reporting Persons plus 19,355 shares of Common Stock of the Issuer issuable upon the conversion or exercise of Derivative Securities (as defined in Item 4) of the Issuer.
The information set forth below is based upon 42,273,104 shares of Common Stock outstanding as of March 19, 2021, as per information received from the Issuer. Such percentage figures are calculated in accordance with Rule 13d-3 under the Securities Exchange Act of 1934, as amended.

Julian. C Baker and Felix J. Baker each hold 21,929 shares of Common Stock.
In addition, the Funds and certain Reporting Persons directly hold certain warrants to purchase Common Stock or convertible preferred stock of the Issuer (such warrants and convertible preferred stock, collectively, the “Derivative Securities”). As reflected in the table above the Funds have a present right to acquire an aggregate of 19,355 shares of Common Stock through the exercise or conversion of Derivative Securities. The remainder of the Derivative Securities held by the Funds or certain other Reporting Persons do not currently represent beneficial ownership of the Common Stock for the Reporting Persons because either the Derivative Securities or the underlying series of convertible preferred stock of the Issuer are subject to beneficial ownership limitations on exercise or conversion such that the Reporting Persons do not have a present right to acquire shares of Common Stock within 60 days.
The Adviser GP is the sole general partner of the Adviser. Pursuant to the management agreements, as amended, among the Adviser, Life Sciences and 667 and their respective general partners, the Funds’ respective general partners relinquished to the Adviser all discretion and authority with respect to the investment and voting power of the securities held by the Funds, and thus the Adviser has completed and unlimited discretion and authority with respect to the Funds’ investments and voting power over investments.
Julian C. Baker and Felix J. Baker are also the sole managers of FBB3 and by policy they do not transact in or vote the securities of the Issuer held by FBB3.
