(a) Amount beneficially owned:
As of the date hereof, Highbridge Capital Management, LLC, as the trading manager of Highbridge Tactical Credit Master Fund, L.P. and Highbridge Convertible Dislocation Fund, L.P. (collectively, the "Highbridge Funds"), may be deemed to be the beneficial owner of the 22,920,231 shares of Common Stock (including 2,750,000 shares of Common Stock issuable upon exercise of warrants and 20,170,231 shares of Common Stock issuable upon the conversion of convertible notes) held by the Highbridge Funds.
(b) Percent of class:
The percentages used herein and in the rest of this Schedule 13G are calculated based upon 427,914,984 shares of Common Stock reported to be outstanding as of April 5, 2021, as reported in the Company's Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 13, 2021, and assumes the exercise of the warrants and the conversion of the convertible notes reported herein. Therefore, as of the date hereof, Highbridge Capital Management, LLC may be deemed to beneficially own approximately 5.08% of the outstanding shares of Common Stock.
The foregoing should not be construed in and of itself as an admission by the Reporting Person as to beneficial ownership of the shares of Common Stock issuable upon exercise of the warrants or conversion of the convertible notes held by the Highbridge Funds. |
