EXPLANATORY NOTE
The reporting persons identified in this Schedule 13G were previously required to report their beneficial ownership of common stock of Guided Therapeutics, Inc. (the Issuer) on Schedule 13D pursuant to Rule 13d-1(e) promulgated under the Securities Exchange Act of 1934, as amended (the Act). Such reporting persons intent with respect to the investment has changed and therefore, they are eligible to report their beneficial ownership of the Issuers common stock on Schedule 13G. The reporting persons have entered into a joint file agreement, dated July 25, 2006, that is filed as an exhibit to the Schedule 13D filed by the reporting persons with the Securities and Exchange Commission on July 26, 2006.
