Explanation of Responses:
( 1 )Pursuant to an exchange agreement, holders of Blackstone Holdings partnership units (which term refers collectively to a partnership unit in each of Blackstone Holdings I L.P., Blackstone Holdings II L.P., Blackstone Holdings III L.P., Blackstone Holdings IV L.P. and Blackstone Holdings V L.P.), subject to the vesting and minimum retained ownership requirements and transfer restrictions set forth in the partnership agreements of the Blackstone Holdings partnerships, may up to four times each year (subject to the terms of the exchange agreement) exchange their Blackstone Holdings partnership units for The Blackstone Group L.P. common units on a one-for-one basis, subject to customary conversion rate adjustments for splits, unit distributions and reclassifications. A Blackstone Holdings limited partner must exchange one partnership unit in each of the five Blackstone Holdings partnerships to effect an exchange for a common unit. ( 2 )Such Blackstone Holdings partnership interests are held in a Grantor Retained Annuity Trust, for which the Reporting Person is the investment trustee.
( 3 )Such Blackstone Holdings partnership interests are held in a trust, for which the beneficiaries are various descendants of the Reporting Person, and for which the Reporting Person is the investment trustee.
( 4 )Such Blackstone Holdings partnership interests are held in a limited liability company, for which the Reporting Person is the managing member, and in which certain of his descendants hold the economic interest.
( 5 )Pursuant to Rule 16a-1(a)(4) of the Securities Exchange Act of 1934, as amended, the Reporting Person herein states that this filing shall not be deemed an admission that he or it is the beneficial owner of any of such interests, and disclaims beneficial ownership of such interests, except to the extent of his pecuniary interest in such interests.
